Terms and Conditions

The web platform owned by FAST LANE, S.R.L. is Software as a Service (SaaS) administered by FAST LANE, S.R.L., a commercial company incorporated under the laws of the Dominican Republic, holder of Commercial Registry certificate No. 162762SD and registered with the National Taxpayer Registry (RNC) under No. 1-32-04876-8, with registered office at Calle Prolongación Siervas de María 82, Naco, Santo Domingo, Dominican Republic.

FAST LANE, S.R.L. operates a platform that enables establishments (restaurants, hotels) to manage inventory in real time; create and close orders via QR code; view consumption history and analytics from a mobile or web application as preferred; and enables suppliers to receive automated orders; manage product catalogs (variations, prices); synchronize inventory; and offer featured promotions exclusively through the web application.

These Terms and Conditions may be modified when appropriate and apply to all services available on the Platform. It is important to read them carefully before accessing, browsing, using, and/or requesting any of our services, because by doing so you acknowledge that you have read and understood them and expressly grant your consent herein.

The following definitions apply to these Terms and Conditions:

• Content: all information, text, image, video, audio, file, data, link, document, software, code, or other material uploaded, transmitted, published, or stored on the Platform by FAST LANE, S.R.L., Users, or authorized third parties.
• Establishment: the business, commercial premises, office, branch, operating unit, or point of sale belonging to the Supplier from which goods or services are managed or provided through the Platform.
• Platform: the technology system developed, operated, and managed by FAST LANE, S.R.L., including its website, mobile applications, interface, source code, features, modules, databases, and all associated digital infrastructure through which Users and Suppliers may interact, contract, manage, and provide services or products.
• Supplier: a natural or legal person that uses the Platform to offer, sell, distribute, or facilitate goods and/or services. The Supplier is responsible for the quality, legality, and fulfillment of its obligations regarding the products or services offered.
• User: a natural or legal person that accesses the Platform to consult, contract, acquire, or interact with services or products offered by Suppliers. Any person who creates an account, browses, consults information, or uses Platform features is also considered a User, whether or not a commercial transaction has been completed.

Acceptance of these Terms and Conditions is expressly manifested by clicking the button or checkbox indicating “I accept the Terms and Conditions,” whereby the User irrevocably accepts and declares to have read, understood, and agreed to be bound by them. These Terms and Conditions constitute an adhesion contract between FAST LANE, S.R.L. and the User. Continued use of the Platform after such acceptance shall be considered a reaffirmation of the consent granted. If the User disagrees with any term herein, the User must refrain from accessing or using the Platform.

The Platform acts exclusively as a technology intermediary that facilitates contact and transactions between Users and Suppliers. FAST LANE, S.R.L. is not a party to contracts entered into between Users and Suppliers and does not guarantee the accuracy of information published by them.

Only legally constituted entities represented by persons with sufficient capacity and authority to act may register. During registration, the User must provide truthful, accurate, current, and complete information and is responsible for keeping it updated. FAST LANE, S.R.L. may reject registration requests or suspend accounts if it detects inconsistencies, breaches, or risks to the integrity of the Platform.

The service is offered exclusively to clients authorized and approved by FAST LANE, S.R.L. It is granted under a non-transferable license, issued individually per User and per Establishment. Use of the platform grants a maximum of five (5) users derived from the administrator user, for a total of six (6) users.

The main account allows creation and administration of secondary users and role assignment; the account holder is responsible for safeguarding credentials and promptly notifying any unauthorized access. FAST LANE, S.R.L. assumes no responsibility for access resulting from the user’s own negligence.

FAST LANE, S.R.L. reserves the right to suspend or cancel any account, temporarily or permanently, when a breach of these Terms and Conditions, non-payment of applicable commissions, or prohibited conduct on or through the Platform is verified. The User may also cancel the subscription at any time from the control panel.

The User shall:

• Comply with all applicable regulations, including rules on commerce, taxation, data protection, competition, and intellectual property.
• Maintain the confidentiality of access credentials and immediately notify FAST LANE, S.R.L. of any unauthorized use.
• Guarantee to FAST LANE, S.R.L. that the User holds the necessary rights over Content published and that such Content does not infringe third-party rights.
• Authorize FAST LANE, S.R.L. to publish, reproduce, adapt, and communicate User Content for the purpose of operating and promoting the Platform.

The User is prohibited from:

• Using the Platform for unlawful, fraudulent, or defamatory purposes, or purposes that harm third-party rights.
• Engaging in any fraud, identity theft, or data manipulation to obtain improper benefits or harm third parties.
• Sending unsolicited mass messages (spam) or conducting unauthorized promotion or advertising on or through the Platform.
• Attempting to access, interfere with, or alter the Platform’s source code, architecture, algorithms, or internal systems through reverse engineering, decompilation, disassembly, or any other unauthorized means.
• Using automated tools, bots, or data scraping.
• Introducing viruses, malware, or any other malicious code that affects the integrity or availability of the Platform or other Users’ systems.

Violation of these clauses may result in immediate suspension or cancellation of User access, as well as initiation of corresponding legal actions, without prejudice to FAST LANE, S.R.L.’s right to claim resulting damages.

FAST LANE, S.R.L. reserves the right to modify or update available features, service plans, and applicable rates at any time; such modifications will be communicated to the User at least thirty (30) days in advance by email to the registered contact address and by a prominent notice on the Platform. New conditions take effect on the date indicated in the notice. If the User disagrees with the changes, the User may cancel the subscription or request account closure before the effective date; otherwise, continued use of the service shall be considered full acceptance of the new features, plans, or rates.

Platform fees and commissions are expressed in Dominican Pesos (RD$) or United States Dollars (USD$), according to the contracted plan, and are shown excluding the Tax on the Transfer of Industrialized Goods and Services (ITBIS); the rate in force in the Dominican Republic will be added at billing.

FAST LANE, S.R.L. acts exclusively as a technology intermediary and therefore assumes no responsibility for failures, unavailability, or errors attributable to third parties such as payment gateways, banking entities, or other financial service providers involved in transactions carried out through the Platform.

Prices shown on the website are displayed in Dominican pesos (DOP), with taxes included in the price breakdown, and are subject to any applicable tax changes. The user may view prices in United States dollars (USD) and euros if desired.

Online payments are processed through the AZUL Payment Page. Visa and Mastercard credit and debit cards are accepted, and charges are made in Dominican pesos (DOP).

FastLane does not collect, store, or access the full card number, expiration date, or security code; those details are entered and processed only on AZUL’s platform.

Each supplier processes payment for its own suborder. The card statement will therefore show the name of the supplier that issued the charge, not FastLane.

An order containing products from multiple suppliers generates multiple separate charges, one per supplier.

Charges made by FastLane to suppliers for its own services are a separate flow and may appear as FastLane.

FastLane does not establish a uniform commercial cancellation, return, or refund policy. Each supplier independently defines its own policy, including eligibility requirements, conditions, required evidence, and deadlines.

The applicable policy is that of the supplier that fulfilled the relevant product or service and issued the charge. That supplier decides whether to approve or reject the request and processes any approved refund against its charge. FastLane acts only as a technology intermediary and a channel for routing the request to the responsible supplier.

FAST LANE, S.R.L. collects and processes the User’s personal data in accordance with its Privacy Policy, Law 172-13 on Data Protection, and complementary regulations, using the information exclusively to provide, improve, and personalize the Platform, as well as for legal and security purposes. By browsing, the User authorizes the installation of first-party and third-party cookies that enable essential features, performance measurement, and content personalization; the User may manage or withdraw consent at any time through browser settings or the cookie preferences panel available on the Platform, although doing so may limit certain features.

All intellectual and industrial property rights in the Platform, including but not limited to its source code, functional architecture, graphical interface, design, content, databases, and associated trademarks, trade names, and distinctive signs, are the exclusive property of FAST LANE, S.R.L. or its legitimate licensors and are protected by applicable intellectual property, industrial property, and software protection laws.

Any reproduction, modification, distribution, public communication, transformation, decompilation, reverse engineering, data extraction, integration into other systems, commercialization, sublicensing, or other unauthorized use of the Platform’s Content, design, features, or technology is strictly prohibited without the prior express written consent of FAST LANE, S.R.L.

Mere use of the Platform does not grant the User any rights over protected elements. Breach of this clause may result in immediate cancellation of access and corresponding legal actions, including injunctive relief and claims for damages.

The Platform is provided “as is” and “as available.” FAST LANE, S.R.L. acts only as a technology intermediary and does not guarantee uninterrupted service continuity, absence of errors, or that the Platform will meet the User’s specific expectations. FAST LANE, S.R.L. shall not be liable for service interruptions due to scheduled or unscheduled maintenance, third-party system failures, or force majeure events, including without limitation infrastructure failures, cyberattacks, power outages, or telecommunications network problems.

The User acknowledges and accepts sole responsibility for the accuracy of information provided, for the quality and lawfulness of goods or services offered through the Platform, and for fulfillment of contractual obligations toward third parties. FAST LANE, S.R.L. grants no additional warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall FAST LANE, S.R.L. be liable for indirect or consequential damages, lost profits, data loss, or any other non-direct damage. FAST LANE, S.R.L.’s total liability to the User is limited to the amount actually paid by the User for use of the Platform during the twelve (12) months preceding the event giving rise to the claim.

The User shall hold FAST LANE, S.R.L. harmless from any claim, damage, or expense arising from the User’s breach of these Terms and Conditions or applicable law.

Both FAST LANE, S.R.L. and the User undertake to treat as confidential all commercial, technical, or strategic information learned in connection with use of the Platform and not to disclose it without prior consent.

FAST LANE, S.R.L. shall not be liable for delays, interruptions, or failures to perform contractual obligations resulting from force majeure circumstances or events beyond its reasonable control. Such events include, by way of example and without limitation: natural disasters, fires, floods, earthquakes, acts of war or terrorism, labor disputes, pandemics, government restrictions, massive power failures, telecommunications or connectivity outages, cyberattacks, or failures of critical providers.

FAST LANE, S.R.L. shall notify the User in writing of a force majeure event within a maximum of ten (10) business days after effective knowledge of it, specifying its nature, foreseeable effects, and estimated duration. While the force majeure event persists, affected obligations shall be suspended without penalty and resume as soon as the circumstances cease. If the situation continues for more than thirty (30) calendar days, either party may terminate the contract without entitlement to compensation.

FAST LANE, S.R.L. may temporarily suspend or permanently cancel User access to the Platform without prior notice and without entitlement to compensation in case of breach of these Terms and Conditions or if activities are detected that may compromise the security, integrity, or legality of the Platform.

Upon account cancellation, FAST LANE, S.R.L. will retain User data for the legally established period or the period strictly necessary to fulfill contractual, legal, or administrative obligations. After that period, data will be securely deleted unless an additional legal retention obligation applies.

Provisions of these Terms and Conditions that by their nature should survive contract termination — including but not limited to those relating to intellectual property, confidentiality, limitation of liability, indemnity, and dispute resolution — shall remain in full force after cancellation or expiration of User access.

All official notices shall be sent to the email addresses registered by the Parties, unless they designate another written means.

FAST LANE, S.R.L. grants the User a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform in accordance with these Terms and Conditions, solely for the purposes established in the Contract. The User may not assign, sublicense, transfer, or dispose of rights or obligations arising from this Contract without prior written authorization from FAST LANE, S.R.L. The User is responsible for any misuse, negligence, or conduct contrary to this contract performed directly or allowed through the User’s credentials. In such cases, FAST LANE, S.R.L. may suspend or revoke the license without prior notice, without prejudice to corresponding legal actions.

FAST LANE, S.R.L. may assign this contract, in whole or in part, without the User’s consent, in connection with a merger, acquisition, corporate reorganization, or transfer of assets related to the Platform.

These Terms and Conditions shall be governed by the laws of the Dominican Republic. Any claim, dispute, or controversy shall be submitted to the exclusive jurisdiction of the competent courts of the Dominican Republic, waiving any other venue that may otherwise apply.
